General conditions

General

1. Unless the parties explicitly agree otherwise in advance and in writing, these Terms and Conditions govern all offers and/or agreements that we conclude with principals, in which context we (the contractor) undertake to transport or to have transported, to order and/or distribute goods, to intermediate, to store and/or tranship, to treat and/or process goods, to assemble and install goods, to deliver or lease moveable or immovable property, or to perform in any other way.

2. In these Terms and Conditions ‘principal’ is taken to mean any natural person or legal entity that has concluded an agreement with us or that wishes to do so, as well as representatives, agents, successors in title and heirs.

3. The applicability of any general terms and conditions applied by the principal is explicitly excluded.

4. It has been established between us and the principal that if any contract is concluded subject to the applicability of these Terms and Conditions, they will also govern any future offers and agreements.

5. If, where appropriate, we do not invoke the provisions contained in these Terms and Conditions, that does not mean that we have waived our right to invoke the following Terms and Condition in other cases.

6. The principal will indemnify us against claims brought by third parties – however they may be referred to and/or however they may have arisen –insofar as we would not be entitled to invoke the provisions contained in our General Terms and Conditions against such third parties because as such claims would have been excluded if such third parties had been bound by our General Terms and Conditions.
