General conditions

Lease

1. This Article governs the lease of containers. In the event that a take-off chassis and/or breakdown lorry is used, this Article also governs the lease of such equipment, in which case the term ‘container’ as used in this Article is also taken to mean the take-off chassis and/or breakdown lorry.

2. Containers remain our property at all times. The principal is not permitted to sell, lease or otherwise encumber containers or to make them available to third parties.

3. As from the time at which the containers come under the principal’s control, the risk of loss of or damage to the containers will be transferred to the principal. All containers will be deemed to have been in good condition at the time at which they came under the principal’s control, unless the principal proves otherwise. The principal is required to notify us in writing within five working days after the containers come under its control in the event of any complaint about or damage to the containers.

4. The principal is required to notify us immediately in the event of loss of and/or damage to the containers. Damage includes damage due to fire, theft and soiling. We will repair or replace the damaged materials, at our discretion. We will charge the principal separately for the costs of repair or replacement.

5. The principal must ensure that the containers are properly stored at its own risk and expense. The principal must properly use, handle and load the containers and must keep the containers clean.

6. Damage that the principal and/or third parties incur that is caused by the container after the container has come under the principal’s control will be for the principal’s risk and account. The principal indemnifies us and third parties that we engage against any and all liability in this respect.

7. Costs related to normal wear and tear of the containers or damage to the containers caused by our acts and/or omissions will be at our expense. The principal must allow us or third parties that we engage to repair and/or replace the containers. The principal in any event will not be entitled to any remuneration for inconvenience, delay, replacement or otherwise.

8. The principal is liable for any costs and penalties related to the placement of the containers on its site, the public road or otherwise in accordance with its instructions. The principal indemnifies us and third parties that we engage against any and all liability in this respect.

9. We are not liable towards the principal in respect of any impediments to the use of the containers caused for the principal by third parties.

10. After the agreement has been terminated or in any event after use, the principal is required to return the containers to us in good condition, empty, dry and odourless, at its own risk and expense.
