General conditions

Payment

1. To the exclusion of the provisions governing payment contained in Article 2(2), the provisions contained in subsections 2 to 7 of this Article govern payments for work that we are instructed to perform and for the goods that we deliver or services we perform.

2. The principal is obliged to pay the amounts it owes within 30 days of the invoice date. If payment has not been made within that term, the principal will be obliged to pay statutory interest in accordance with Article 6:119a of the Dutch Civil Code, in addition to the principal amount.

3. The principal is not entitled to set off any amounts that we charge it pursuant to any agreement that we have concluded with it.

4. If payment is not made in a timely manner and we take collection measures, judicially or otherwise, all the costs that we have incurred or will incur in the future and all the related costs, including extrajudicial collection costs, being 15% of the principal amount, will be paid by the principal, without prejudice to the provisions contained in subsection 2 of this Article, unless the principal owes a higher amount on the basis of the Voorwerk II report.

5. We are entitled to retain goods, monies and documents, the latter in the broadest sense of the word, in respect of any party that demands their surrender, at the risk and expense of the principal and/or owner until all claims that are due and payable have been paid, or in the event that goods are forwarded to receive the amount due C.O.D. and to set it off.

6. a. All goods, documents and monies that we have obtained or will obtain on any basis and for any purpose whatsoever will be deemed to be a possessory pledge in our favour in respect of all claims that we have or will acquire against the principal or the owner.

b. In the event that the claim is not paid, the possessory pledge will be sold in the manner prescribed by law, or privately if agreement is reached in that respect.

7. a. If we are requested to do so we may have the possessory pledge replaced with another form of security having equal value, exclusively at our discretion.

b. Under no circumstances may the principal invoke any postponement of payment that has been granted explicitly or otherwise in respect of prior assignments.
